Terms of Service

1. Binding Agreement

By accessing or using this nationwide service, you agree to be bound by these Terms and our Privacy Policy. We may modify these Terms at any time; continued use 180 days after posting constitutes your binding acceptance.

2. LIMITATION OF LIABILITY

Liability Cap: To the maximum extent permitted by New York law, NexEdge AI shall not be liable for any indirect, incidental, or consequential damages. Our total cumulative liability is capped at the amount actually paid by you to us in the twelve (12) months preceding the event giving rise to the claim.

Exceptions (Carve-Outs): Nothing in these Terms shall limit our liability for (i) gross negligence, willful misconduct, or fraud; (ii) death or personal injury caused by our negligence; or (iii) any statutory obligations that cannot be excluded under the New York SHIELD Act or mandatory consumer protection laws.

3. CLASS ACTION WAIVER

ANY PROCEEDINGS TO RESOLVE OR LITIGATE ANY DISPUTE IN ANY FORUM WILL BE CONDUCTED SOLELY ON AN INDIVIDUAL BASIS. NEITHER YOU NOR NEXEDGE AI WILL SEEK TO HAVE ANY DISPUTE HEARD AS A CLASS ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR IN ANY OTHER PROCEEDING IN WHICH EITHER PARTY ACTS OR PROPOSES TO ACT IN A REPRESENTATIVE CAPACITY.

4. Governing Law & Venue

These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to conflict of law principles. You irrevocably consent to the exclusive jurisdiction of the state and federal courts located in New York County (Manhattan), NY for all disputes.
